Memo to Matter is currently operated by SAMEpage. This website explains a transaction-system direction for New York residential real estate lawyers and provides a way to request Preferred Access. It does not provide legal advice, accept legal matters, or create an attorney-client relationship.

Keep client information out of this site

Do not submit client names, contracts, deal sheets, documents, matter facts, deadlines, privileged communications, or other confidential legal information.

01 — Scope

Using the website

These terms apply when you visit memotomatter.com, use its forms, or communicate with us through a website-provided route. By using the website, you agree to these terms. If you are using it for a firm or organization, you represent that you may act for that organization.

The website may describe current working proof, planned capabilities, illustrative workflows, or a product direction that is still being developed. A description, mockup, timeline, or invitation does not guarantee that a feature, integration, access date, or commercial term will be available.

02 — Boundary

No legal advice or attorney-client relationship

Memo to Matter and SAMEpage are not law firms. Website content is general product and business information, not legal advice. You should not rely on it to make a legal decision, satisfy a deadline, interpret a contract, or handle a transaction.

Sending a Preferred Access request or email does not create an attorney-client relationship, a fiduciary relationship, or a duty to act on a legal matter. Information sent through the website is not treated as privileged merely because it was sent to us.

You agree not to:

  • Submit information you do not have the right to provide.
  • Upload or transmit client, matter, privileged, or highly sensitive information.
  • Probe, disrupt, overload, bypass, or interfere with the website or its security controls.
  • Use automated means to scrape, copy, or submit forms without our written permission.
  • Misrepresent your identity, firm, authority, or reason for contacting us.
  • Use the site in violation of law or another person’s rights.

We may restrict or block access when reasonably necessary to protect the website, its users, or our systems.

04 — Requests

Preferred Access is a request, not a purchase

Submitting the form asks us to review your firm for Preferred Access. It does not guarantee acceptance, timing, product availability, pricing, capacity, or any particular feature. No paid relationship exists unless the parties later agree to separate written terms.

We aim to respond to a complete request within one business day, but that is a service target rather than a guaranteed response time. You are responsible for keeping your contact information current and for deciding whether any later proposal is right for your firm.

05 — Ownership

Content and intellectual property

The website, brand, copy, graphics, product concepts, and other materials are owned by or licensed to Memo to Matter or SAMEpage and are protected by applicable intellectual-property laws. You may view and share links to public pages for ordinary business evaluation. You may not reproduce, modify, distribute, sell, or commercially exploit website materials without written permission.

If you send feedback or suggestions, you grant us permission to use them without restriction or compensation, but we will not intentionally publish your confidential information as a testimonial or endorsement without permission.

Third-party services

The website may use or link to services operated by others. Their services are governed by their own terms and privacy practices. We are not responsible for third-party sites or services that we do not control.

To the fullest extent permitted by law, Memo to Matter, SAMEpage, and their affiliates, owners, employees, and contractors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or business opportunities arising from use of the website. Any aggregate liability arising from the website will not exceed one hundred U.S. dollars. Some jurisdictions do not permit every exclusion or limitation, so parts of this section may not apply to you.

We may update the website and these terms. The date and version above identify the current terms. Continued use after revised terms are posted means you accept the revised terms.

These terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any dispute that may be brought in court will be brought in the state or federal courts located in New York County, New York, unless applicable law requires otherwise. If one provision is unenforceable, the remaining provisions will continue in effect.
